TRANSPORT AND INFRASTRUCTURE
With strengths in: aviation
and space law, law of the sea, national and regional
transport issues, and shipping law.
For two decades AGS has played a significant role
in the privatisation and corporatisation of major government-owned
infrastructure, including airports, rail, hospitals
and energy facilities.
The privatisations have included diverse advice, arrangements
and structures including Commonwealth due diligence,
facilitating buyer due diligence, the public float of
shares, trade sales of shares, sales of assets, sale
of long-term leases, management and/or staff buy-out,
and negotiating and liaising with the Australian Securities
Commission and the Australian Stock Exchange.
In addition to considering the commercial aspects of
such transactions, AGS has assessed and addressed the
complex legal, government, legislative and public interest
concerns that arise in the course of such processes.
Projects in which we have been involved include:
- combined trade sale and public float of Qantas
Airways Limited
- Federal Airports sale phase 1, the sale of Melbourne,
Brisbane, Perth, Adelaide and Sydney airports
- Federal Airports sale phase 2, the sale of a further
15 airports
- sale of National Rail Corporation Limited
- sale of Williamstown Naval Dockyard, including
drafting and negotiating new Anzac frigate contracts
- restructure and trade sale of Aerospace Technologies
of Australia Limited
- Moomba pipeline sale
- sale of Snowy Mountains Engineering Corporation
Limited
- corporatisation and restructure of Snowy Mountains
